Terms of Service

Effective date: August 1, 2026

These Terms of Service ("Terms") govern access to and use of DealDocket (the "Service"), operated by Uptime Advisory ("we," "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organization you represent.

1. The Service

DealDocket is workflow software for sell-side M&A advisory firms: buyer pipeline management, outreach sent from your own connected mailbox, reply triage, and client reporting. The Service is currently offered as an early-access product; features may change, and we may onboard, suspend, or decline accounts at our discretion during this period.

2. Accounts and responsibility

  • You must provide accurate account information and keep credentials secure.
  • You are responsible for all activity under your organization's account, including content sent through mailboxes your users connect.
  • You represent that you have the right to upload the contact and deal information you store in the Service and that your outreach complies with applicable law (including CAN-SPAM and equivalent regulations).

3. Your data

You retain all rights to the data you store in the Service — buyer contacts, deal information, documents, and reports. We access and process it only to provide the Service, as described in our Privacy Policy. We do not sell your data or use it to train machine-learning models.

4. Connected mailboxes

Email features operate through OAuth connections you authorize (e.g., Google). Sending occurs from your own mailbox and domain. You may disconnect a mailbox at any time from Settings, which stops all sending and inbound processing for that mailbox.

5. Acceptable use

  • No unlawful, deceptive, or infringing content or activity.
  • No bulk unsolicited email unrelated to bona fide deal processes.
  • No attempts to breach, probe, or circumvent security or tenancy boundaries.
  • No reselling or providing the Service to third parties without our agreement.

6. Confidentiality

We treat your deal data as confidential. You are responsible for your own obligations to your clients and counterparties, including the terms of NDAs you manage through the Service.

7. Availability and support

During early access the Service is provided without uptime commitments. We will make reasonable efforts to notify you of material changes, planned downtime, and incidents.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DEALDOCKET IS WORKFLOW SOFTWARE; IT DOES NOT PROVIDE LEGAL, FINANCIAL, OR INVESTMENT ADVICE, AND AUTOMATED CLASSIFICATIONS ARE SUGGESTIONS SUBJECT TO YOUR REVIEW.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, AND IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Termination

You may stop using the Service and request deletion of your organization's data at any time. We may suspend or terminate accounts for breach of these Terms. Upon termination we will delete your data in accordance with our Privacy Policy.

11. Changes

We may update these Terms; material changes will be communicated to account holders. Continued use after changes take effect constitutes acceptance.
